Terms of Service

1. Eligibility and Accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the accuracy of your account information, for maintaining the confidentiality of your credentials, and for all activity under your account. Notify us immediately of any unauthorized use.

2. The Service

StageKit provides CRM and project-management tools for contractors, including job and contact management, scheduling, estimates and invoicing, document signing, and optional third-party integrations. We may add, change, or remove features at any time.

3. Customer Data

“Customer Data” means the data you and your users submit to the Service, including information about your contacts, jobs, and documents. As between you and us, you own your Customer Data. You grant us a limited license to host, process, and transmit Customer Data solely to provide and improve the Service. You are responsible for having all rights and consents necessary to submit Customer Data, including any personal information of your customers, and for using the Service in compliance with applicable law.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful or fraudulent purpose;
• Send unsolicited communications in violation of anti-spam or telemarketing laws;
• Upload malicious code or attempt to disrupt, overload, or gain unauthorized access to the Service or its infrastructure;
• Reverse engineer, copy, or resell the Service except as permitted by law; or
• Infringe the intellectual-property or privacy rights of others.

5. Third-Party Integrations

The Service may interoperate with third-party services such as Google Calendar, QuickBooks, mapping providers, and payment processors. Your use of those services is governed by their own terms and privacy policies, and we are not responsible for them. You authorize us to access and exchange data with a third-party service when you connect it, and you may disconnect it at any time.

6. Fees and Payment

Paid plans are billed in advance on the cadence described at sign-up or in your order. Fees are non-refundable except as required by law or expressly stated. We may change pricing on prospective notice. You are responsible for applicable taxes. Failure to pay may result in suspension or termination of access.

7. Intellectual Property

The Service, including its software, design, and trademarks, is owned by StageKit and its licensors and is protected by intellectual-property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as permitted here.

8. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service or other users. Upon termination, your right to use the Service ends. We may delete Customer Data after a reasonable period unless retention is required by law; you are responsible for exporting any data you wish to keep.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STAGEKIT WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You will indemnify and hold harmless StageKit and its officers, employees, and agents from any claims, damages, and expenses (including reasonable attorneys’ fees) arising out of your Customer Data, your use of the Service, or your violation of these Terms or applicable law.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of Utah, without regard to its conflict-of-laws rules. The exclusive venue for any dispute will be the state or federal courts located in Utah County, Utah, and you consent to their jurisdiction, except that either party may seek injunctive relief in any court of competent jurisdiction.

13. Changes to These Terms

We may update these Terms from time to time. We will post the revised version with a new effective date and, where appropriate, provide additional notice. Your continued use of the Service after an update constitutes acceptance of the revised Terms.
